1. Acceptance of Terms

By creating an account on InvoiceGen, visiting our website at invoicegen.gogurug.com, or using any part of our Service, you confirm that:

• You are at least 18 years old and legally capable of entering into a binding agreement.
• You have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.
• If you are using the Service on behalf of a business or entity, you represent that you have the authority to bind that entity to these terms.

If you do not agree to these terms, please do not use InvoiceGen.

2. Description of Service

InvoiceGen is a web-based invoice management platform that provides:

• Professional PDF invoice generation with GST support.
• Customer and product/service catalog management.
• Invoice delivery via email and WhatsApp.
• E-Way Bill generation through the Masters India API.
• Revenue analytics and dashboard reporting.
• Team collaboration with CA/Accountant access roles.
• Digital signature and company stamp integration on invoices.

We reserve the right to add, modify, or remove features at any time with or without prior notice.

3. User Accounts & Registration

To use InvoiceGen, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Keep your account credentials (email and password) confidential.
• Notify us immediately at [email protected] if you suspect unauthorized access to your account.
• Be solely responsible for all activity that occurs under your account.
• Not share your account with any other person or use another person's account.

We reserve the right to suspend or terminate accounts that contain false information or are used in violation of these Terms.

4. Acceptable Use Policy

You agree to use InvoiceGen only for lawful business purposes and in compliance with all applicable laws. You must not use the Service to:

• Generate fraudulent, fictitious, or falsified invoices.
• Violate any applicable tax laws, GST regulations, or financial reporting requirements.
• Attempt to gain unauthorized access to other users' accounts or data.
• Distribute malware, spam, or any other harmful content.
• Reverse engineer, decompile, or attempt to extract source code from the platform.
• Use automated scripts, bots, or crawlers to extract data from the platform without written permission.
• Impersonate any person, business, or entity.
• Engage in any activity that disrupts or interferes with the platform's performance.

Violation of this policy may result in immediate account suspension and, where applicable, reporting to relevant authorities.

5. Invoice Limits & Plans

• Free Plan: Each account receives a default limit of invoices as configured by the administrator (typically 100 invoices).
• Limit Increase: To increase your invoice limit, contact us at [email protected]. Increased limits may be subject to applicable charges at our discretion.
• No Guarantee: We reserve the right to change plan limits with reasonable notice.
• You are solely responsible for the business accuracy of all invoices generated on our platform.

6. Intellectual Property

All content, branding, software, code, templates, and design elements of InvoiceGen — including but not limited to our logo, UI design, and application code — are the exclusive property of GoGurug and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes. You may not copy, reproduce, modify, distribute, or create derivative works from any part of the platform without our express written consent.

Your Data: You retain full ownership of the invoice data, customer records, and business information you enter into InvoiceGen. You grant us a limited license to store and process this data solely to provide the Service to you.

7. User Content & Data

You are solely responsible for the accuracy and legality of all data you input into InvoiceGen, including:

• Customer information (names, addresses, GSTINs).
• Product/service descriptions and pricing.
• GST rates and tax calculations applied to invoices.
• Uploaded images (signatures, company stamps).

InvoiceGen is a tool — we do not verify the legal or financial accuracy of the invoices generated. Compliance with GST, income tax, and other applicable laws remains your responsibility.

8. Third-Party Integrations

InvoiceGen integrates with third-party services including Masters India (E-Way Bill API), email providers, and WhatsApp. These integrations are provided for your convenience. We:

• Are not responsible for the availability, accuracy, or reliability of third-party services.
• Make no guarantees regarding E-Way Bill generation success, which depends on government API availability.
• Are not liable for any charges, penalties, or delays arising from third-party service failures.

Your use of third-party services through InvoiceGen is subject to those services' own terms and privacy policies.

9. Disclaimers & Limitation of Liability

No Professional Advice: InvoiceGen does not provide legal, tax, accounting, or financial advice. Always consult a qualified professional for compliance matters.

"As Is" Service: The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose, merchantability, or non-infringement.

Limitation of Liability: To the maximum extent permitted by law, GoGurug shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, revenue, profits, or business opportunity — arising from your use of or inability to use InvoiceGen, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising from these terms or the use of the Service shall not exceed the amount you paid to us in the 12 months preceding the claim (or ₹500 if no payment has been made).

10. Termination

Either party may terminate the use of InvoiceGen at any time:

• By You: You may stop using the Service and request account deletion by contacting [email protected].
• By Us: We may suspend or terminate your account immediately without notice if you violate these Terms, engage in fraudulent activity, or if we discontinue the Service.

Upon termination, your right to access the Service ends immediately. We may retain your data for legal compliance purposes as described in our Privacy Policy. Sections on Intellectual Property, Disclaimers, and Governing Law survive termination.

11. Changes to Terms

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated "Last Updated" date. For material changes, we will notify registered users via email at least 7 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms or the use of InvoiceGen shall be subject to the exclusive jurisdiction of the courts located in India.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
